Sales Conditions

• Each order is submitted to these sales conditions, with exclusion of the customer's own sales conditions.
• Prices: All prices are net, VAT 21% at charge of the customer.
• Offers: Only after written demand an offer will be given. The logo on which the offer is based is binding for the offered price. An offer remains valid for one month.
• Orders: Following foreseen lead time. Orders have to be confirmed in writing. They can only be registered after reception of the complete and correct delivery and invoice data (including VAT number if applicable).Posterior changes will lead to an administrative cost of € 5.
• Logo: At the definite order the logo has to be delivered correctly and firm, i.e. a digital and vectorized file (Illustrator, Photoshop, Quark or CorelDraw file). Colors have to be delivered with their pantone color number. All posterior changes on initiative of the customer will lead to extra costs.
• Lead time: Lead time starts after reception of the advanced payment. The delivery date is an aim date. It will be followed as good as possible by us. Delays cannot be a reason for rupture of the contract nor lead to indemnification.
• Delivery: Merchandise is transported on the risk and danger of the addressee. Merchandise will be deposited on an easily reachable place for the transporter. The delivered goods remain our property until the payment of the lump sum costs, interests and taxes.
• Payments: New customers: Prefinancing of the entire sum. As of the second order: 50% at the order confirmation, remaining sum at the reception of the invoice (date of invoice + 10 days) or following prior agreement. Articles and prices remain subject to changes. Each invoice is payable on her due date. The sum of each invoice that is not paid entirely on her due date will be raised by right and without formal notice with damages equal to 15% of the due sum and a minimum of 75 Euro. The thus raised sum will be subject by right and without formal notice to an interest of 1% per month, each started month being considered as an entire one.
• Samples: Of all our articles samples can be sent on demand and against payment.
• Complaints: Complaints concerning the non conformity of the delivered goods will only be accepted when arriving to us within eight days after the delivery. When customer and/or commissioner neglects to reception the goods, the delay of eight days starts at the reception of the invoice. We do not guarantee orders by phone for printing mistakes or others. Resulting complaints of such are in charge of the customer and/or commissioner. Sold and delivered goods cannot be returned without our prior and written agreement. In any case our guarantee is limited to the replacement of the product and, if replacement is impossible, refunding of the price. Partial use of the delivery implicates acceptance of the whole delivery. Complaints regarding the invoice must also reach us in writing within eight days after the date of the invoice. The filing of a complaint does not implicate the non obligation for the payment of the invoice.
• Derogations: It is possible that existing models undergo small changes. There is a possible derogation in color of 10% of your logo, depending on the used material. More or less delivery of 10% is possible and will be calculated.
• Property: All designs made by Chayenne remain at all times our property. We assume that our customer has the right to use a logo and can thus not be hold responsible for abuse.
• Cancelation: Each cancelation by a customer and/or commissioner has to be in writing. At the complete or partial cancelation of an order after approval of the proof implicates the payment of 50% of the ordered amount. When production has already started, an order can no longer be cancelled and will in any case implicate the being due of the entire invoice amount.
• Disputes: Disputes concerning the conclusion, validity, interpretation or execution of this agreement and the there out following agreements our the sole jurisdiction of Belgian law and are part of the sole territorial competences of the Brussels courts. The executions of the orders includes automatically acceptance of the abovementioned conditions. Derogations of these sales conditions are only possible with our explicit written consent.
